ThrillTek Resale & Distribution Terms

Effective Date: 5/27/2025

These Resale & Distribution Terms (“Agreement”) govern the conditions under which third parties (“Reseller,” “Distributor,” or “You”) may resell, distribute, advertise, or represent products manufactured or supplied by ThrillTek LLC (“ThrillTek,” “we,” “us,” or “our”). By placing a bulk or resale order, requesting dealer status, or representing ThrillTek products in a commercial setting, you agree to these terms in full.

Authorization & Eligibility

Only parties approved in writing by ThrillTek are authorized to resell or distribute its products. Unauthorized resale, rebranding, or distribution constitutes a breach of contract and intellectual property infringement.

To be considered, you must:

• Submit a formal application or B2B inquiry
• Provide proof of business (EIN, resale license, tax exemption cert, etc.)
• Agree to ThrillTek’s branding, use, and marketing standards
• Maintain a minimum initial wholesale purchase amount as specified

Permitted Sales Channels

Resellers may sell through approved outlets only:

• Brick-and-mortar retail locations
• Authorized websites and e-commerce platforms (if approved)
• B2B direct sales to commercial clients

Note: You may not list ThrillTek products on Amazon, Walmart Marketplace, eBay, or similar third-party platforms without explicit written consent.

Pricing Policy & Minimum Advertised Price (MAP)

Resellers agree to adhere to any published MAP policy issued by ThrillTek. You may not:

• Undercut MAP pricing publicly
• Advertise clearance, “going out of business,” or bulk discounts without approval
• Create bundle offers that dilute product value or misrepresent the brand

Branding, Packaging & Representation

You must represent ThrillTek products professionally and accurately. This includes:

• Using official names, logos, photos, and marketing materials
• Not altering packaging, decals, serial plates, or warranty labels
• Not creating unapproved themes, variants, or bundles using ThrillTek machines

Product Handling, Warranty, and Customer Support

You are responsible for:

• Safe storage, handling, and transport of units
• Informing customers of ThrillTek’s warranty, terms, and installation disclaimer
• Referring tech or part issues back to ThrillTek

Order Minimums & Payment Terms

• Initial orders must meet specified quantity or dollar minimums
• Restocking orders must meet ongoing thresholds to maintain account status
• Payment terms will be specified in writing; most require full prepayment or Net Terms if approved

Territory Restrictions

ThrillTek may assign or restrict geographic territories. You may not sell or advertise in restricted regions without written permission.

Termination & Compliance

We may suspend or terminate reseller status at any time for:

• Breach of these terms
• Damage to our brand or reputation
• Payment failures or account unresponsiveness
• Customer complaints or warranty misuse

Indemnification

You agree to indemnify and hold harmless ThrillTek from any claims, losses, or legal action resulting from:

• Customer misuse of products
• Failure to present terms or warranties accurately
• Unauthorized service, misrepresentation, or false advertising

Governing Law

This Agreement is governed by the laws of the State of Ohio. Any legal disputes shall be resolved in the courts of Cuyahoga County, Ohio.

Agreement Acknowledgment

By placing a bulk order, using wholesale pricing, or distributing ThrillTek products, you agree to these terms.
