By placing a bulk or resale order, requesting dealer status, or representing ThrillTek products in a commercial setting, you agree to these terms in full.<\/p>\n\n  <h3>Authorization &#038; Eligibility<\/h3>\n  <p>Only parties approved in writing by ThrillTek are authorized to resell or distribute its products. Unauthorized resale, rebranding, or distribution constitutes a breach of contract and intellectual property infringement.<\/p>\n  <p>To be considered, you must:<\/p>\n  <ul style=\"list-style-type: disc; padding-left: 20px; margin-bottom: 20px;\">\n    <li>Submit a formal application or B2B inquiry<\/li>\n    <li>Provide proof of business (EIN, resale license, tax exemption cert, etc.)<\/li>\n    <li>Agree to ThrillTek\u2019s branding, use, and marketing standards<\/li>\n    <li>Maintain a minimum initial wholesale purchase amount as specified<\/li>\n  <\/ul>\n\n  <h3>Permitted Sales Channels<\/h3>\n  <p>Resellers may sell through approved outlets only:<\/p>\n  <ul style=\"list-style-type: disc; padding-left: 20px; margin-bottom: 20px;\">\n    <li>Brick-and-mortar retail locations<\/li>\n    <li>Authorized websites and e-commerce platforms (if approved)<\/li>\n    <li>B2B direct sales to commercial clients<\/li>\n  <\/ul>\n  <p><strong>Note:<\/strong> You may not list ThrillTek products on Amazon, Walmart Marketplace, eBay, or similar third-party platforms without explicit written consent.<\/p>\n\n  <h3>Pricing Policy &#038; Minimum Advertised Price (MAP)<\/h3>\n  <p>Resellers agree to adhere to any published MAP policy issued by ThrillTek. You may not:<\/p>\n  <ul style=\"list-style-type: disc; padding-left: 20px; margin-bottom: 20px;\">\n    <li>Undercut MAP pricing publicly<\/li>\n    <li>Advertise clearance, \u201cgoing out of business,\u201d or bulk discounts without approval<\/li>\n    <li>Create bundle offers that dilute product value or misrepresent the brand<\/li>\n  <\/ul>\n\n  <h3>Branding, Packaging &#038; Representation<\/h3>\n  <p>You must represent ThrillTek products professionally and accurately. This includes:<\/p>\n  <ul style=\"list-style-type: disc; padding-left: 20px; margin-bottom: 20px;\">\n    <li>Using official names, logos, photos, and marketing materials<\/li>\n    <li>Not altering packaging, decals, serial plates, or warranty labels<\/li>\n    <li>Not creating unapproved themes, variants, or bundles using ThrillTek machines<\/li>\n  <\/ul>\n\n  <h3>Product Handling, Warranty, and Customer Support<\/h3>\n  <p>You are responsible for:<\/p>\n  <ul style=\"list-style-type: disc; padding-left: 20px; margin-bottom: 20px;\">\n    <li>Safe storage, handling, and transport of units<\/li>\n    <li>Informing customers of ThrillTek\u2019s warranty, terms, and installation disclaimer<\/li>\n    <li>Referring tech or part issues back to ThrillTek<\/li>\n  <\/ul>\n\n  <h3>Order Minimums &#038; Payment Terms<\/h3>\n  <ul style=\"list-style-type: disc; padding-left: 20px; margin-bottom: 20px;\">\n    <li>Initial orders must meet specified quantity or dollar minimums<\/li>\n    <li>Restocking orders must meet ongoing thresholds to maintain account status<\/li>\n    <li>Payment terms will be specified in writing; most require full prepayment or Net Terms if approved<\/li>\n  <\/ul>\n\n  <h3>Territory Restrictions<\/h3>\n  <p>ThrillTek may assign or restrict geographic territories. You may not sell or advertise in restricted regions without written permission.<\/p>\n\n  <h3>Termination &#038; Compliance<\/h3>\n  <p>We may suspend or terminate reseller status at any time for:<\/p>\n  <ul style=\"list-style-type: disc; padding-left: 20px; margin-bottom: 20px;\">\n    <li>Breach of these terms<\/li>\n    <li>Damage to our brand or reputation<\/li>\n    <li>Payment failures or account unresponsiveness<\/li>\n    <li>Customer complaints or warranty misuse<\/li>\n  <\/ul>\n\n  <h3>Indemnification<\/h3>\n  <p>You agree to indemnify and hold harmless ThrillTek from any claims, losses, or legal action resulting from:<\/p>\n  <ul style=\"list-style-type: disc; padding-left: 20px; margin-bottom: 20px;\">\n    <li>Customer misuse of products<\/li>\n    <li>Failure to present terms or warranties accurately<\/li>\n    <li>Unauthorized service, misrepresentation, or false advertising<\/li>\n  <\/ul>\n\n  <h3>Governing Law<\/h3>\n  <p>This Agreement is governed by the laws of the State of Ohio.
